Existen dos tipos principales de asociaciones, las sectoriales, mucho más dificiles de crear pues se componen de empresas que a priori son competencia entre sí, son a la larga las más fuertes pues la sinergia es mayor, y las multisectoriales, menos complicadas para ponerse de acuerdo pues no hay competencia directa o incluso son complementarias, pero no todos los esfuerzos podrán ser compartidos, pues cada una tendrá que seguir haciendo su publicidad por su lado, por ejemplo.Acuerdo de colaboración
Imaginemos un fabricante de muebles, que en solitario decide apostar por el mercado ruso. En primer lugar hará una labor de investigación de mercado para valorar si merece la pena o no, después si todo es positivo adaptará cierto material al mercado, traduciendo catálogos y página web al ruso, enseguida empezará con los desplazamientos de sus agentes comerciales, rondas de contacto, llamadas… si todo va bien, sobretodo al principio sus nuevos clientes rusos le harán pedidos pequeños o medianos para probar el producto, por lo que tendrá que contratar grupajes.

Una vez salvado este obstáculo, que no es cualquier cosa, empezará el trabajo. Pongamos que son 10 asociados, y lo primeor que hacen es el lógico estudio de mercado. Aquí ya obtienen un ahorro del 90%, pues el mismo estudio les sirve a todos.
Luego seguirían con la adaptación de la imagen, traducción de textos al ruso, traducción de la web al ruso, etc. Aquí también podrían ahorrarse bastante pues podrían hacer un catálogo y una web para todos los asociados.
Al llegar a la fase de desplazamientos, si se ha definido bien los criterios de venta, la agrupación podría contratar un vendedor que se encargara de representarlos a todos, ahorrando así una cantidad enorme en desplazamientos.
Y por último el transporte, ¿qué mejor manera de ahorrar en el transporte que agrupar la mercancía?
En definitiva, los beneficios están claros, pero llegar a una asociación de este tipo es tan complejo que muchas veces los esfuerzos terminan en fracaso. Aun así, merece la pena intentarlo ¿verdad?

What is the cost of a Due Diligence in Purchase sale of a business?

The cost of a Due Diligence will always be referenced to the hours that will be reversed by advisers, to develop it. Therefore, the wider, deeper and have the Due Diligence, the higher the cost. Due Diligence, o también conocido como “Diligencias Debidas” es una de las etapas más importantes en el entorno de los procesos de Compra Venta de Empresas. Tiene su inicio, generalmente, tras la firma de la “Carta de Intenciones” por parte del adquirente de la sociedad y bajo consentimiento expreso del vendedor de la empresa.

El principal objetivo de este proceso de Due Diligence, es conocer en profundidad aquello que es objeto de adquisición, mediante una revisión exhaustiva de todas las áreas de negocio que componen la empresa objeto. En el presente artículo nos centraremos en definir el Concepto, Alcance, Contenido  y Coste de un proceso de  Due Diligence:
Concepto Due Diligence en el entorno de la Compra Venta de Empresas
La Due Diligence, en el entorno de la Compra Venta de Empresas, es una revisión del negocio de la empresa a adquirir, con el objetivo principal de confirmar (o desestimar) todas las hipótesis sobre las que se ha tomado la  decisión de adquisición.
Dichas hipótesis a contrastar, no solo serán de carácter financiero, sino de muchas otras disciplinas empresariales: comercial, fiscal, legal, laboral, medioambiental,etc…
El resultado de la Due Diligence será determinante en el proceso de negociación de la Compra Venta de la Empresa, en los requerimientos de garantías adicionales para poder llevarla a buen término, y en el mismo cierre de la transacción de la compra venta.
Por tanto, la realización de la Due Diligence reduce claramente el riesgo de la transacción de compraventa de la empresa, y aporta al comprador una evaluación independiente, objetiva, y detallada del negocio, revisando muy especialmente la existencia de pasivos ocultos o contingencias en todas y cada una de las áreas objeto de la revisión.
¿Cuándo debe realizarse la Due Diligence en la Compra Venta de una Empresa?
No existe una regla fija o única acerca de cuándo debe realizarse la Due Diligence en la Compra Venta de una Empresa. Lo más habitual, es que la Due Diligence se realice en la fase de ejecución de las transacciones, y muchas veces constituye un auténtico elemento de negociación, dentro de la transacción de compra venta de la empresa.
Muchas veces, el vendedor no desea facilitar el acceso a la verificación de la información, hasta después de haber cerrado definitivamente la transacción de compraventa, e incluso hasta haber firmado el Contrato de Compra Venta. Normalmente, el Contrato de Compraventa vincula varios apartados (precio, plazos, garantías…) a los resultados de la Due Diligence.
La realización de una Due Diligence, en ocasiones, altera la “vida normal” de una empresa, sobre todo cuando ésta es pequeña. De repente, el personal puede comenzar a observar las idas y venidas de asesores en los diferentes departamentos de la empresa. Es por esto que la parte vendedora querrá minimizar el impacto de todo el proceso de “Due Diligence”, e incluso, en algunas transacciones no se permitirá a los asesores el acceso a buena parte de las instalaciones, y se alquilará una “Data Room” que contendrá la información necesaria para que estos realicen los análisis oportunos.
¿Cuál ha de ser el alcance y el contenido de una Due Diligence en la compra venta de una empresa?
Una Due Diligence no es similar a una Auditoría (reglada y normatizada), o a un Peritaje Judicial (también reglado y normatizado); por tanto, no existe una regulación normativa que nos indique su extensión, sus apartados, su contenido… En definitiva, el alcance, y el contenido de una Due Diligence viene marcado, por las necesidades del proceso de compra venta en cuestión, por la dimensión y complejidad de la empresa a adquirir,  y por los usos y costumbres en esta disciplina (la compra venta de empresas).
A pesar de ello, existen determinadas áreas o apartados que normalmente sí que se repiten en todas las Due Diligence en la compra venta de empresas, y son los siguientes:
1) Los antecedentes de la transacción
2) La visión general del negocio
3) La Organización de la empresa
4) El Análisis del Negocio
5) Análisis Financiero de la Empresa
6) Sistemas de Información y Control
7) Contingencias Fiscales
8) Contingencias Medioambientales
9) Gestión del Riesgo y Seguros.
10) Contingencias Jurídicas
11) Contingencias Laborales
La tendencia actual es la de centrarse en aspectos concretos y muy definidos, y no realizar una Due Diligence “integral”. Por tanto, es muy habitual realizar, a modo de ejemplo, una Due Diligence Fiscal, y una Due Diligence Laboral, para aflorar posibles contingencias fiscales y laborales, sin entrar a realizar una Due Diligence “integral”.
¿Cuál es el coste de una Due Diligence en la Compra Venta de una Empresa?
El coste de una Due Diligence siempre irá referenciado a las horas que vayan a invertirse, por parte de los asesores,  en desarrollar la misma. Por tanto, cuanto mayor alcance, y mayor profundidad tenga la Due Diligence, mayor será su coste. Si bien, hay una regla de cálculo que suele ser una buena orientación: su coste suele aproximarse al 1% del volumen global de la transacción de Compra Venta de la Empresa en cuestión.
Hay que decir que, aunque parezca muy elevado el coste de una Due Diligence (en términos absolutos así suele ser), en términos relativos, las ventajas que aporta su realización  para una correcta toma de decisiones la convierte en absolutamente recomendable en una transacción de compra venta de empresa, compensando ampliamente el coste de la misma.
Por último, el alto coste de una Due Diligence viene justificado al tener que realizarse por profesionales absolutamente especializados en realizar este tipo de trabajo; y es considerado como un trabajo de “alto riesgo”, en cuanto a las responsabilidades que puede conllevar su realización, así como a las consecuencias que las conclusiones de la misma pueda tener para la propia transacción de  la compra venta de la empresa.

It is increasingly common to see two companies pool their resources to create a company with which to address large projects, like landing on a new market or discover a drug. Moreover, even competitors have seen the creation of joint ventures the perfect formula to explore new business without compromising all its financial muscle.
Many Spanish firms have succeeded in finding partners for new projects, such as NH Hotel Group with the Chinese HNA or Gamesa with the French Areva. However, there are also many joint adventures are not over in fruition, as was the case with the Haier Asian Fagor.
"In these structures, joining companies with different cultures, it is important that the contract leave clear objectives of the joint project, what the government of the vehicle or how to resolve potential conflicts that arise," explains Lucas Osorio, partner Commercial and director of the Madrid office of Hogan Lovells.

Hogan Lovells partner explains that "it is usual to resort to so-called ADR; it comes to dispute resolution mechanisms that do not involve rigid forms and deadlines or arbitration courts ". Cuando dos compañías deciden unir fuerzas para acometer grandes proyectos, el mayor error que cometen al firmar los contratos es la indefinición de mecanismos para solucionar las luchas de poder.

Cada vez es más habitual ver a dos compañías unir sus recursos para crear una sociedad con la que abordar proyectos de gran envergadura, como aterrizar en un nuevo mercado o descubrir un medicamento. Es más, incluso empresas competidoras han visto en la creación de joint ventures la fórmula perfecta para explorar nuevos negocios sin comprometer todo su músculo financiero.
Son muchas las firmas españolas que han tenido éxito en la búsqueda de socios para iniciar nuevos proyectos, como NH Hotel Group con la china HNA o Gamesa con la francesa Areva. Sin embargo, también son muchas las aventuras conjuntas que no han terminado en buen puerto, como fue el caso de Fagor con la asiática Haier.
«En estas estructuras, al unirse empresas con diferentes culturas, es importante que el contrato deje claros los objetivos del proyecto común, cómo será el gobierno del vehículo o la forma de resolver los potenciales conflictos que vayan surgiendo», explica Lucas Osorio, socio de mercantil y director de la oficina madrileña de Hogan Lovells.
Según este experto, las ventajas de este tipo de alianzas estratégicas están claras: «Se trata de evitar, en la medida de lo posible, desembolsos económicos exagerados». Pero no sólo se comparten los costes, sino también los riesgos. Además, es un modelo muy flexible, ya que «el contrato de joint venture no está regulado legalmente como figura típica y unitaria, sino que en la práctica se instrumenta como una vía jurídica de negociación compleja, en la que las partes definen objetivos, acordando derechos y obligaciones».
Precisamente, este contrato es clave de cara al éxito de esta aventura conjunta, ya que se negocia cuando las partes están en sintonía y es el documento en el que se deben fijar, entre otras cosas, los mecanismos para resolver problemas, como las luchas de poder, un aspecto que no siempre se tiene en cuenta.
El socio de Hogan Lovells explica que «es habitual recurrir a los llamados ADR; se trata de mecanismos de resolución de disputas que no implican los rigorismos y plazos del arbitraje o tribunales». De esta forma, son los propios directivos de ambas compañías los que intentar mediar, hasta llegar al máximo nivel jerárquico. Si ahí no hay acuerdo, entonces ya se recurre a otras vías, como la judicial.
Pero estas luchas de poder no pueden encarnizarse y, sobre todo, deben definirse previamente formas para, llegado el caso, poner fin a la alianza, pero sin que supongo el fin de la nueva compañía. «La situación más extrema es articular mecanismos de salida de uno de los partícipes», o incluso de ambos, vendiendo la joint venture a un tercero, apunta Osorio.
En estas situaciones, se incluyen diferentes condiciones. Una es la conocida como ruleta rusa (una de las partes exige a la otra que le compre o le venda su participación), otra sería establecer una subasta o bien apostar por la cláusula andorrana (una de las partes fija un precio y la otra decide si, por ese importe, prefiere vender su paquete o, por el contrario, comprar el de su rival).
Aspectos clave de un contrato- ‘Due diligence’: si alguna de las partes, en lugar de capital, aporta una rama del negocio o activos propios, es necesario hacer una valoración precisa.
- Las empresas que participen tienen que definir claramente los objetivos de la nueva compañía, así como la configuración de los órganos ejecutivos.
- En estructuras de control conjunto, es clave definir mecanismos de solución de conflictos que tengan en cuenta a ambas partes.
- Estipular el funcionamiento de los ADR o herramientas alternativas de resolución de problemas. Sistema de negociación previo al arbitraje o los tribunales.
- Definir fórmulas de desbloqueo para cuando no se llegue a un acuerdo. Para casos extremos, hay que prever la salida de una de las partes (incluso, de ambas).
- Si uno de los socios es industrial, a la hora de plantear su salida de la alianza, hay que proteger las marcas y tecnología que haya aportado.
